Privacy Policy Notice 

To the extent required by the provisions of HIPAA and regulations promulgated thereunder, Contractor does hereby assure Facility that it will appropriately safeguard protected health information (“PHI”) made available to or obtained by Contractor pursuant to this Agreement. Without limiting the obligations of Contractor otherwise set forth in this Agreement or imposed by applicable law, Contractor agrees to comply with applicable requirements of law relating to PHI and with respect to any task or other activity Contractor performs on behalf of Facility, specifically Contractor shall:  

(a) Not use or further disclose PHI other than as permitted or required by this Agreement or as required by law;  

(b) Use appropriate safeguards to prevent use or disclosure of PHI other than as provided for by this Agreement;  

(c) Report to Facility any use or disclosure of PHI not provided for by this Agreement of which  

Contractor becomes aware;  

(d) Ensure that any subcontractors or agents to whom Contractor provides PHI agree to the same restrictions and conditions that apply to Contractor with respect to PHI;  

(e) Make available PHI in accordance with applicable law;  

(f) Make Contractor’s internal practices, books, and records relating to the use and disclosure of PHI received from Facility available to the Secretary of the United States Health & Human Services for purposes of determining Facility’s compliance with applicable law (in all events, Contractor shall immediately notify Facility upon receipt by Contractor of any such request, and shall provide Facility with copies of any such materials);  

(g) Make available the information required to provide an accounting of disclosures pursuant to  

applicable law; and  

(h) At termination of this Agreement, return to Facility or destroy all PHI that Contractor still  

maintains in any form and retain no copies of PHI;  

Contractor agrees that this Agreement may be amended from time to time with the written consent of Contractor and Facility to the extent required by the provisions of HIPAA and regulations promulgated Thereunder to assure this Agreement is consistent therewith.
